CHANGES IN EPC CONTRACTS

ABSTRACT
Various factors during an international construction project's implementation can lead the parties to amend their EPC contract. In this article, the author explores the very concept of "change", examines change management process; considers possible cases of changes to the EPC contract; examines the change control procedure in EPC contract, including issue and approval of changes; submits corresponding conclusions and recommendations for applying in contract practice. For deeper analysis and understanding of project change management the equivalent translation of definitions in English is given.
As a result of this study, it was revealed that in the process of EPC contract performance changes can be made to the volume, cost, schedule of the work performed, as well as to the financing conditions and internal characteristics of the equipment. The parties to EPC contract are driven by the necessity to meet the End Date of EPC contract and therefore resort to using a flexible mechanism for making changes. By using such a mechanism the parties can reach a mutually acceptable agreement during the implementation of the project without referral of controversial issues to the court. In EPC contracts, it is important to mention in which cases changes are possible and describe the impact of such changes on terms, scope, price and other contractual issues. However, in case the Russian law is applied to EPC contract, it is necessary to take into account the mandatory nature of the norms of the Civil Code of the Russian Federation.
The study shows that the mechanism for making changes to the EPC contract is an effective way to implement projects carried out by Russian companies with the participation of foreign partners. It allows make faster management decisions and record various changes that affect, in particular, the cost and/or volume and/or schedule of work. However, should Russian law be the governing law of the EPC contract, the change order (variation) mechanism will need to be adjusted to meet the requirements of the Russian Civil Code.

В процессе реализации международного инвестиционно-строительного проекта могут возникать различные факторы, которые побуждают стороны к внесению изменений в заключенный ими ЕРС-контракт. В настоящей статье автор исследует само понятие «изменение», рассматривает процесс управления изменениями; рассматривает всевозможные случаи внесения изменений в ЕРС-контракт; исследует процедуру внесения изменений в ЕРС-контракт, в том числе сам процесс направления и согласования изменения; предоставляет соответствующие выводы и рекомендации для применения в договорной практике. Для более полного анализа и понимания процесса управления изменениями в проектах приводится эквивалентный перевод терминов на английский язык.
В результате проведенного анализа выявлено, что в процессе реализации ЕРС-контракта изменения могут быть внесены в объем, стоимость, сроки выполняемых работ, а также в условия финансирования, внутреннее устройство оборудования. Однако, если применимым правом к ЕРС-контракту будет российское, потребуется адаптация положений процедуры внесения изменений с учетом требований российского Гражданского кодекса.
